1. About These Terms

These Terms of Service (“Terms”) form a binding agreement between you (“User”, “you”) and Trenx Digital, an entity registered in India with its office at Plot no 29, Road A-14, Near DLF Phase 1 Metro Station, DLF Phase 1, Gurugram, Haryana 122002 (“Trenx Digital”, “we”, “us”, “our”). They govern your use of MunshAI, accessible at www.munshai.com (the “Service”).

By creating an account, clicking “I agree”, or using the Service, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and legally capable of entering into contracts under Indian law to use the Service. If you are using MunshAI on behalf of a business or organisation, you confirm that you have authority to bind that organisation to these Terms.

3. The Service

MunshAI is a multi-tenant Software-as-a-Service application that helps small business owners and entrepreneurs track personal and business finances, including transactions, parties, loans, EMIs, receivables, payables, cash flow, and AI-assisted financial insights (“CFO Assistant”). The Service is provided on an “as-is” and “as-available” basis.

The Service is a record-keeping and analytical tool. It is NOT chartered accountancy, tax advice, legal advice, financial planning advice, or investment advice. Insights produced by the CFO Assistant are generated by artificial intelligence models and may be inaccurate, incomplete, or out of date. You are solely responsible for verifying all information before acting on it. Consult a qualified Chartered Accountant or financial advisor for material decisions.

4. Account, Workspaces, and Access

You may create one or more workspaces (“Organisations”) to organise your finances. As the workspace owner, you may invite others to your workspace with one of the following roles: Owner, Co-Owner, Admin, Accountant, Manager, Staff, Auditor, Viewer. Each role has specific permissions. You are responsible for assigning appropriate roles to invitees and for the actions they take within your workspace.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@munshai.com if you suspect unauthorised access.

5. Fees, Billing, and Taxes

The Service is offered on a paid subscription basis. Pricing is displayed on the Service prior to purchase and may be revised on 30 days’ notice for existing subscribers. All fees are exclusive of applicable Goods and Services Tax (GST), which will be charged where applicable.

Subscriptions auto-renew at the end of each billing period unless cancelled. Refunds are governed by the Refund and Cancellation Policy available at /legal/refund.

Payment processing is performed by third-party payment gateways (such as Razorpay). We do not store your card details. Your use of the payment gateway is governed by the gateway’s own terms.

6. Your Data and Content

You retain all ownership of the financial data, transactions, files, images, and other content you upload to the Service (“User Content”). You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derived data from your User Content solely to (a) operate, maintain, and improve the Service for you and (b) generate AI insights via the CFO Assistant.

We will not sell your User Content. We will not use your User Content to train third-party AI models. AI processing performed by the CFO Assistant sends excerpts of your data to third-party AI providers (currently Anthropic PBC, USA) under contractual confidentiality and zero-retention terms.

7. Acceptable Use

You agree to use the Service only for lawful purposes. You will not, and will not allow others to:

  • Use the Service to commit fraud, money laundering, tax evasion, or any other criminal activity
  • Upload data that you do not have the right to share
  • Attempt to gain unauthorised access to other workspaces or our systems
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to send unsolicited communications
  • Resell, sublicense, or white-label the Service without our written agreement
  • Use automated means to access the Service at a rate that degrades performance for others

8. Service Availability and Beta Status

During the beta period, the Service is provided without a Service Level Agreement. We will make commercially reasonable efforts to keep the Service available, but we do not guarantee uninterrupted access, error-free operation, or specific uptime. Scheduled maintenance and emergency fixes may cause downtime without notice.

9. Intellectual Property

The Service, including all software, designs, trademarks, logos, and documentation, is the property of Trenx Digital or its licensors. These Terms do not grant you any right to our intellectual property other than the limited right to use the Service as described.

10. Termination

You may terminate your account at any time from the in-app settings or by emailing support@munshai.com. We may suspend or terminate your account immediately if you breach these Terms, with notice where reasonably practicable.

On termination, you may export your data for up to 30 days after closure, after which we may delete your User Content. We retain certain records (invoices, audit logs, security records) for as long as required by law.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided “as-is” and “as-available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy of AI-generated insights, or non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Service in any 12-month period shall not exceed the fees you paid us in the preceding 12 months. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or financial losses arising from your reliance on AI-generated insights.

13. Indemnity

You agree to indemnify and hold Trenx Digital, its directors, officers, employees, and agents harmless from any claims, damages, or expenses (including reasonable legal fees) arising out of your breach of these Terms or your unlawful use of the Service.

14. Changes to These Terms

We may revise these Terms from time to time. Material changes will be notified to you by email and through the Service at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of India. The courts at Gurugram, Haryana have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
